own due diligence. Some things to remember:

  • Don't blindly trust anybody endorsing the deal – they may have their
    own agendas.
  • The numbers need to make sense to you. Carefully review the
    financial projections, estimates, and other relevant data, and make
    sure the numbers align with your own financial goals and risk
    tolerance.
  • The most important thing is trusting the syndicator. Research the
    syndicator's track record and reputation, as well as their experience
    and expertise. You should feel comfortable communicating openly,
    asking questions and voicing concerns.

What is a limited partner?

A Limited Partner (LP) is an investor who provides capital to a real estate investment project but has no control over the management of the property. The LP typically receives a portion of the profits generated by the project, in proportion to their investment.

This is in contrast to the General Partner (GP), who manages the project and is responsible for its success or failure. The GP is usually the one who finds the real estate opportunity, puts the deal together, and manages the day-to-day operations of the property.

What is an accredited investor?

An accredited investor is an individual or entity that meets certain financial criteria established by the Securities and Exchange Commission (SEC) in the United States. Accredited investors are allowed to invest in certain types of private securities offerings that are not available to the general public, such as private equity or hedge funds.

You qualify if any of the following below apply to you:

  • You have an annual income of at least $200,000 for the past two years, or $300,000 for joint income with
    a spouse, with the expectation of earning the same or higher income in the current year.
  • You have a net worth of at least $1 million (excluding your primary residence).
  • You are a general partner, executive officer, or director for the issuer of the securities being offered.
  • You are a business in which all the equity owners are accredited investors.
  • You are a trust with assets in excess of $5 million, not formed solely to acquire the securities being offered.
  • You are an entity in which all the equity owners are accredited investors.
